By cataloguing and indexing people around the world, the HUMANS Global Resource Bank will be designed to enable you to find and engage with every person that you need, whatever you need.

HUMANS was organized in 2016 when the deficiencies of existing online talent-on-demand services became apparent to the Founders. Existing platforms such as LinkedIn were based around a linear concept of one person – one job. In fact, this concept doesn’t properly reflect the changing nature of the global labour market.

Platforms were created in an attempt to respond to evolving labour market trends – TaskRabbit, Freelancer, UpWork, Thumbtack and many others. An emerging set of online/digital marketplaces where talent and those looking to hire talent can find and engage one another in a work arrangement is called the Human Cloud, which according to Staffing Industry Analysts (SIA), is arguably the fastest-growing segment of today’s technology-fuelled gig economy.

But the platforms today share many of the same disadvantages: centralised operators; dependence on a middleman charging high fees and commissions; and user limitations such as an inability to set one’s own terms and conditions, or to choose preferred people to collaborate with, among other limitations.

Recognising the shortcomings of existing systems, HUMANS core initial idea was to create a fully decentralized platform, backed by advanced and proprietary technology, that allows humans around the world to realise their boundless potential, enabling them to find the ideal match for their every need. Today, the HUMANS Platform is an extremely efficient decentralized open work and help platform with no middleman and no commission charges, where Registered Users may be incentivized for their loyalty to the Platform – the more active the Registered User is, the more he/she will be able to earn or save.

The HUMANS Platform is already experiencing strong organic growth, and this will be supplemented by the effect of new strategic relationships that will substantially accelerate the pace of user growth. For example, the HUMANS Platform Operator is currently collaborating in the U.S. with the National Newspaper Publishers Association — allowing HUMANS to leverage the organization’s 200 community papers to connect with its more than 20 million weekly readers.

The HUMANS Platform Operator also has a partnership with FreshTunes, a free distribution platform for musicians, which brings the HUMANS Platform to even more people, including more than 200,000 musicians and music producers featured on FreshTunes.

The HUMANS Platform Operator is also collaborating with the Coffemania/L’adresse chain of upscale coffee houses with more than 3,500 employees worldwide, allowing the chain to use The HUMANS Platform to hire waiters, chefs, kitchen staff and managers, and to incentivize them within the HUMANS Platform. Coffemania/L’adresse finds the talent that they need, while the HUMANS world continues to grow. These partnerships and other collaborations highlight the adaptability of the Platform across industries and will enable the HUMANS Platform Operator to expand its reach in 2018 to millions of people across the United States alone

Sticking to the principles of Find → Agree → Pay → Evaluate we are working hard to help all humans be wealthier and healthier by upgrading the HUMANS Platform with enhanced AI and blockchain driven functionality including decentralized financial tools (the HUMANS Wallet), our own cryptocurrency for daily life (HUMANS GEN token) and permanent loyalty incentives (Incentive Program), backed up by sophisticated proprietary risk management systems.

Find – the Platform will catalogue and index each profile on a comprehensive list of key parameters and the HUMANS machine learning based search engine will navigate Registered Users through enormous quantities of verified data to find the best match for their request on the Platform. Unlike Google which searches for information, HUMANS searches for people - enabling you to find the best person for your stated need.

Agree – the Company believes that the HUMANS Chat will become one of the most developed messengers on the market and have every feature a modern chat needs. Moreover, Registered Users will be able to share goods, cars or real estate without relying on a third party. The HUMANS Chat will be fully integrated with the HUMANS Wallet.

Pay – Blockchain technology will allow the HUMANS Wallet to become a best-of-breed financial instrument capable of rapidly and securely transferring payments, including cryptocurrency. This will be designed to include new features like secure payments based on co-signed smart contracts and, subject to applicable laws, rules and regulations, potentially even peer-to-peer lending. We hope to give Registered Users the ability to also mine cryptocurrencies inside the Platform.

Evaluate – Harnessing blockchain technology at the core of the system will build trust between Registered Users. Each Registered User will have a deeply rooted personal rating, based on all past interactions, stored on the blockchain. Special curators hired from the Registered Users will review and evaluate work and services and provide their comments, which are also stored in each user track record. The crowd-based verification panel will be supported with a decentralized protocol and will ensure the highest level of trustworthiness.

By leveraging the data of the Platform’s growing user base, HUMANS hopes to create an “Open Proprietary Risk Management System” as the basis for all interactions. This would allow for the evolution of services such as direct insurance underwriting or a bidding system for third-party insurance plans, while protecting Registered Users against losses. HUMANS also aspires to allow other companies or Registered Users to insure transactions on the Platform. This experience would give Registered Users a new freedom and increase earnings and value for everyone, in keeping with the spirit of a genuine sharing economy.

Moreover, the blockchain built Open Proprietary Risk Management System, which HUMANS hopes to develop in future, will allow Registered Users to do their own personal fundraising; each Registered User of the Platform who offers his knowledge and skills will be able to issue his personal tokens, which will be backed by his future achievements. This would allow a student to attract investments in their education backed by his or her personal achievements in the future. In other words, HUMANS will aim to give people an opportunity to climb the social ladder – anything that is humanly possible.

Humans at HOME

HUMANS believes there is great potential to expand its Platform by future development efforts. Since HUMANS’ model was founded on a new set of principles designed for the 21st century — collaboration, openness, interdependence, and integrity—it can easily be applied to any industry or any market.

Such future development will be based on proprietary HUMANS Open Multi-featured Ecosystem (“HOME”), which HUMANS hopes to develop in future and which HUMANS believes will enable third party businesses and service providers to develop their own offerings by leveraging the HOME technical infrastructure and its users, creating a mutually beneficial platform for all – the Ecosystem expands while outside businesses can grow faster.

For example,the HUMANS Platform Operator is partnering with FreshTunes (see below HUMANSMusic), a music service which allows musicians to upload their music to all major digital music stores and sell tracks and Royalty Rights. Now after integration into the HUMANS Platform, users of FreshTunes are able to realize their potential more fully. Not only can they promote and sell their music but they can also apply all their professional skills: write music to order, engage in live performances, offer music lessons or connect with producers. The HUMANS Platform Operator provides FreshTunes musicians with immediate access to the professional music community with no middleman and no fees, allowing them to work directly with people they want to work with and earn more for their services.

Find – Artificial Intelligence connects people based on their interests providing users with personalized, highly accurate, relevant and fast recommendations. Artificial Intelligence keeps all interests, recommendations and interactions in one place that allows AI to fully customize the user experience and take care of people’s needs. Unlike Alexa4, HUMANS recommendations will be based on humans and their actual interests, as opposed to indexed weather forecasts or movie ratings.

Agree – HUMANS is a unified entry point for all communications with users, public group chats, broadcast channels, third-party bots and other virtual storefronts: all unique services on the platform have their own structure of content and subscription model. AI and a customized dashboard help a user control access to the myriad of connections, the vast range of offers and content, the timeline and virtual personal assistant.

Pay – In addition to best-of-breed financial instruments, we offer our own blockchain infrastructure which will allow for fast and secure transactions, enabling users, partners, third-party companies, bots and any other members to use this infrastructure as a payment channel with easily-integrated open protocol to any application.

Evaluate – our Individual Authentication System creates heightened security by enabling DNA signatures and verifications. The life track of every user is protected by a population-based biological database. Users can get an even more comprehensive understanding of personal genetics to improve their health.

system

Just like many talent-on-demand platforms, the HUMANS Platform relies on the concept of trust as it is crucial to digital relationship economics. However, most of the existing tools and systems that help establish trust among platforms users (such as rating systems and reviews) have significant limitations. To address them the HUMANS Platform is creating its own system to match Registered Users, ensure data safety and reliability and prevent fraud. The main disadvantage of modern rating and review systems is that they don’t consider people’s previous experiences, current state of mind and other aspects of behavioral economics. When you look at ratings you see a depersonalized score which is not supported by the reality of human habits and interests.

For example, if you are looking for a restaurant in Paris, you will find that McDonalds has 9 stars and a fancy Michelin restaurant has 7 stars. Ratings do not take into account what you are looking for in that instant – i.e. whether you want to have a bite to eat or have a nice dinner.

Furthermore, rating and reviews systems are subjected to fraud - service providers can create fake accounts to boost their real pages.

The development process is broken up into several stages. At the moment, the HUMANS Platform is operating an Interactive Matching System that employs artificial intelligence to verify and evaluate user data and subsequently match Registered Users. During the next stage we plan to build a Decentralised Reputation System (DRS), basing it on the existing Interactive Matching System.

The HUMANS Reputation System will help us structure the data we have about all HUMANS Platform participants by segmenting them into five groups: Human, Company, Community, Asset, Service.

For each of the five groups we will aim to create a unique relative assessment model that will be based on Multimodal Preferences Vector concept.

We call it a Decentralised Reputation System as we plan to implement the system on blockchain. Blockchain will allow us to ensure the transparency and safety of data stored on the Platform as well as solve a number of data management problems — blockchain technology has the capacity to verify all the data within the Platform.

Dna verification
system

At the core of our platform is the concept of relationship economics which, in turn, heavily relies on trust — a fundamental value for all interpersonal exchanges. Unfortunately, the digital era has created an environment where ill-intentioned actors can abuse trust and derive benefit from creating fake accounts, stealing identities, etc.

Various tools such as passwords, biometric identification and multi-factor verification through emails, Facebook accounts and mobile numbers, have been introduced to prevent this, but they still can’t completely solve the problem, with trust in online counterparties often being undermined. We believe that the best way to address this is to implement our DNA-verification tool.

The first implementation stage of the DNA-verification tool assumes that once our platform users have their DNA-code stored in one of the databases, they can then use it as their universal credentials for accessing accounts across various online platforms. This is similar to the mechanism currently used by Facebook that allows you to bypass registration on various websites by granting them access to your Facebook profile. When the user chooses to enter a platform using DNA-verification the website automatically sends a request to a database where the user’s DNA-code is stored to check the records. The database then issues a special hash to confirm the authenticity of the DNA-code. The platform uses the hash for future identification of the user. It is a simple technology and yet is far more efficient and reliable for authentication and verification purposes than footprint or SSN, as it uses 100% verified DNA-code.

What is a DNA-verification tool?

Every human on the planet, by default, carries a unique distinctive code enshrined in our DNA. The code cannot be corrupted or changed in any way and stays the same throughout our whole life. The unique nature of each individual DNA-code and the fact that there is no centralised entity that generated it for you means that we can make great use of the code by digitalising it. Today there are numerous companies such as 23andme.com across [the world/USA] that allow you to retrieve the DNA-code from your saliva and digitalise it. Your personal code is then stored within the lab’s own database. We expect that within the next three years the cost of this technology will decrease drastically allowing everybody to retrieve a digital code from their personal DNA and enabling such records to be stored on a database.

For the second implementation stage we plan to build our own blockchain system that will store the DNA-codes of our users. The benefit of the blockchain is that it eliminates the possibility of your DNA-code being corrupted or stolen. The introduction of the DNA-verification system will have a significant social impact as it will change the way people interact between each other online. We believe that in future people will only interact with DNA-verified users, as this type of verification brings the transparency and security of online communications to a completely new level.

Users, and particularly malefactors, will not be able to hide their real identity behind non-verified fake accounts, and even if they do other platform participants will choose not to communicate with them. In addition, people will be more careful about things they do and say, because any malign activity will have serious consequences for their history of online social interaction that is visible to other platform participants.

HUMANS GEN
TOKEN

HUMANS plans to build a peer-to-peer Platform with decentralized financial instruments and its own cryptocurrency for daily life and permanent loyalty incentives: HUMANS GEN tokens (“HUMANS GEN”). HUMANS GEN is designed for Registered Users in order to provide them with an opportunity to effect transactions within the HUMANS Platform conveniently and securely. It lets Registered Users not only send and receive cryptocurrency with zero transaction fees but also gives them an opportunity to earn incentives for their activities on the Platform.

HUMANS Platform. In addition, HUMANS recognizes that its Registered Users create value for other users and potential advertisers, and believes that its Registered Users should be fully incentivized for generating this value. HUMANS GEN is not intended to limit the use of any convenient means of payment, but rather to incentivize Registered Users to choose HUMANS GEN as the main payment instrument on the Platform.

To that end, Registered Users who transact on the Platform in HUMANS GEN, rather than fiat currency, may be entitled to incentives out of the HUMANS Incentive Program, into which the HUMANS Platform Operator may make monthly allocations. Incentives will be allocated to individual Registered Users that paid for their transactions in HUMANS GEN on the Platform, subject to certain abuse controls, pro rata based upon the volume and value of HUMANS GEN transacted by all Registered Users on the Platform within the same time span. HUMANS GEN may give all Registered Users clear incentives to become active, stay active and be as active as possible.

HUMANS GEN will also eventually provide Registered Users with an opportunity to receive certain services on the Platform, including the ability to order paid peer-to-peer advertising. Registered Users will be able to directly target each other with ads on the Platform and bypass any intermediary by paying for such posts in HUMANS GEN. In addition to incentivizing HUMANS GEN-related transactions, the HUMANS Platform Operator may also, upon its discretion, incentivize other specific user activities on the Platform. For example, HUMANS will collect data about the number of each Registered User's clicks / views of the ads posted on the Platform in a given period. Registered Users may monthly, subject to certain abuse controls, receive incentive payments based on their pro-rata share of the total number and value of total advertisement consumption activities run on HUMANS Platform during the same period.

It should be noted that HUMANS GEN does not represent any right or interest in the HUMANS Platform Operator or the Company. HUMANS GEN is not designed to have any particular value outside of the HUMANS Platform. In particular, HUMANS GEN does not entitle its holder to any stake or any interest in the HUMANS Platform Operator or the Company by virtue of acquiring HUMANS GEN and neither will HUMANS GEN give the holders any automatic rights to the assets, dividends, revenue or interest in the HUMANS Platform Operator or the Company. Merely holding HUMANS GEN will not entitle the Platform User to any incentive payments.

Incentive Program

Subject to the terms of the Incentive Program, HUMANS Platform Operator may, at its sole discretion, direct 25% of its total revenue each month to a special reserve designated to incentivize specific active operations of Registered Users on the Platform (“Incentive Payment Reserve”).

The HUMANS Platform Operator may only make discretionary reserve payments to fund its incentive payments to Registered Users pro rata to the volume and value of their specific activities on the Platform substantially as outlined below and subject to such specifications and anti-abuse rules as will be prescribed in detail by the written terms of the Incentive Program, which will be made available to all Registered Users of the Platform upon the Token Launch. For the avoidance of doubt, holding HUMANS GEN will not automatically entitle holders (of HUMANS GEN) to the incentive payments. The incentive payments will be provided to the holders strictly at the discretion of the HUMANS Platform Operator and the Company.

HUMANS GEN will also not grant holders any automatic right to receive profits, income, revenue or other payments or returns arising from the acquisition, holding, management or disposal of, the exercise of, the redemption of, or the expiry of, any right, interest, title or benefit in the HUMANS Platform Operator or Company or property or to any return on investment. HUMANS reserves the right to modify the Incentive Program and the Platform in its sole discretion. The development of the Platform and the Incentive Program are subject in all respects to compliance with all applicable laws, rules and regulations.

50% of the Incentive Payment Reserve may at the discretion of the Company be directed to incentivize individual Registered Users that paid for their transactions on HUMANS Platform in HUMANS GEN with the amount of incentives calculated pro rata to the volume and value of HUMANS GENs transacted by all Registered Users on the HUMANS Platform within the same time span and divided by two.

40% of the Incentive Payment Reserve may, at the discretion of the Company, be directed to incentivize individual Registered Users that consumed advertisements on the Platform. The amount of incentives will be calculated pro rata based upon the volume and value of such activity by all Registered Users on the HUMANS Platform within the same time span.

10% of the Incentive Payment Reserve may, at the discretion of the Company, be directed to incentivize individual Registered Users who are ready to provide tech services to the Platform and support HUMANS GEN functionality. Registered Users who support the platform would be rewarded relative to the volume and value of all such support functions performed by all Registered Users.

For the purpose of calculating the amount to be allocated to the Incentives Payment Reserve, monthly total revenue will be determined based on the accounting statements of the HUMANS Platform Operator, which may be subject to adjustments by the HUMANS Platform Operator. Incentive payments may be paid within 30 days of monthly accounting statements being issued and once necessary calculations and preparations are completed. All aspects of the Incentive Program are subject to modification at HUMANS’ sole discretion and in compliance with applicable laws, rules and regulations.

In this section we will first outline the terms of the Token sale during the Crowdsale period. Regardless of the time of purchase, the Token sale price is always fixed at USD 1.0 per Token, which may be paid in fiat currency (by a wire transfer or a credit card), bitcoin or ether.

A minimum of 5,000,000 Tokens (the “Soft Cap”) and a maximum of 100,000,000 Tokens—excluding Bonus Tokens (as defined below)—may be purchased during the SAFT offering and Crowdsale period (the “Hard Cap”).

Now we will explain how HUMANS Gen may be purchased and distributed. All aspects of the Incentive Program, SAFT sale and Crowdsale, below, are subject to modification at HUMANS’ sole discretion and in compliance with applicable laws, rules and regulations.

[1] Token Coupons (for early registrants)

Registered Users may sign up to receive regular updates on the progress of the Network. In November 2018 HUMANS started to distribute a limited number of coupons to Registered Users who subscribe to receive email updates regarding the HUMANS network.

Each coupon will entitle its holder to “Bonus Tokens” representing 25% of the quantity of Tokens purchased in the Crowdsale, subject to the terms and conditions governing the Crowdsale. HUMANS will deliver Bonus Tokens to each eligible purchaser on the last day of the Crowdsale.

[2] SAFT Offering (for Qualified Persons)

Registered Users who are Qualified Persons (as defined below) will be eligible to purchase Tokens at a fixed price of USD 1.0 per Token starting November 15th, 2018 by executing a “Simple Agreement for Future Tokens” (“SAFT”). Subject to satisfaction of all terms and conditions of the SAFT, SAFT holders will receive Bonus Tokens on the last day of the Crowdsale equal to 50% of the quantity of Tokens they order. “Qualified Person” means a person which is a professional, qualified, high net wealth investor or sophisticated person to whom the offer of SAFT may be made without licensing, registration, qualification, or approval by any regulatory authority in accordance with the laws applicable to such persons. For the avoidance of doubt, any U.S. Person (as such term is defined in Regulation S of U.S. Securities Act of 1933) shall be deemed a Qualified Investor if such person is an “accredited investor”, as such term is defined in Rule 501 of Regulation D of the United States Securities Act of 1933.

Before executing a SAFT, Qualified Persons must first become Registered Users and verify their identity, residence and Qualified Investor status for compliance reasons. Upon successful processing of their documentation, Qualified Persons can execute their SAFTs and pay the Token purchase amount to the Company as specified in their order (in fiat currency (by a wire transfer or a credit card), bitcoin or ether) up until the Token Launch (as defined below).

Proceeds of SAFTs will be immediately available to the Company and will comprise the primary source of financing for the development and launch of the main functionalities of HUMANS GEN on the Platform: (1) the HUMANS GEN protocol; (2) a wallet compatible with the Token protocol; and (3) the operation of the Incentive Program (collectively, the “Token Launch”).

Tokens purchased pursuant to a SAFT will be delivered following the Token Launch in two installments:

  • 100% of purchased Tokens at the first day of the Crowdsale;
  • 50% in Bonus Tokens on the last day of the Crowdsale.
[3] Crowdsale

Registered Users may purchase Tokens during the Crowdsale period. The price will be USD 1.0 per Token.

To purchase during the Crowdsale, prospective Token users must become Registered Users and order and accept the terms of the Token sale (“Public Sale Agreement”) to be posted on the HUMANS website. The order may be filled for any number of Tokens, subject to the Use Restriction (as defined below). Following acceptance of the terms of Public Sale Agreement, Registered Users must verify their identity and residential address for compliance reasons. Finally, to finish the order, Registered Users will be required to pay the purchase amount specified in their order (in fiat currency (by a wire transfer or a credit card), bitcoin or ether).

Crowdsale purchasers will receive their ordered Tokens on the date when Humans receives the purchase price of the Tokens. Purchasers will not be able to cancel their order or demand a refund afterwards. In the event a Registered User acquires Tokens collectively worth more than USD 30,000, the Registered User will first have to spend those Tokens which exceed USD 30,000 in payments on the Platform before such Tokens become transferable beyond the Platform. This mechanism (the “Use Restriction”) aims to protect the consumptive interest of prospective Token purchasers.

[4] Allocation of Tokens for registration on the Platform

On the date of the Network Launch, the HUMANS GEN infrastructure will be in place to launch the “Incentive Program”. Until all of the tokens reserved for the Incentive Program have been issued, beginning at Token Launch, HUMANS will issue 5 Tokens to every new Registered User on the Platform.

HUMANS will reserve 5,000,000 Tokens on the Token Launch date for this purpose. A second instalment will be issued and reserved for the Incentive Program on the last day of the Crowdsale period.

[5] Allocation of Reserved Tokens

HUMANS will also reserve Tokens (the “Reserved Tokens”) to be issued on the last day of the Crowdsale period to compensate the HUMANS’ management team, advisory board, and its founders for the services they rendered in developing the Platform and promoting development efforts. HUMANS may also sell some of these reserved Tokens in the future to keep up with evolving user demand.

The Tokens issued but reserved by HUMANS will be allocated in the following manner:

  • Tokens distributed to founders – 50% of Reserved Tokens
  • Tokens distributed to the advisory board – 20% of Reserved Tokens

Additional Crowdsale events

HUMANS may explore the viability of additional public sales of HUMANS GEN to continue growing the Platform’s active Registered User base, if demand for HUMANS GEN proves high enough (each such sale being an “Additional Crowdsale”). HUMANS Platform cares about our user’s data and considers it its most valuable asset of as the more data users can provide about themselves, the more accurate the platform’s recommendations become. We take special efforts to store the data securely protecting it from any attempts to compromise or steal it.

The Humans.net platform architecture is based on a 4-level data storage model that helps fulfill three main requirements:

  1. ICombine centralized and decentralized technologies to store the data that is not only encrypted but also divided into pieces which are tagged, indexed and hashed to protect the data from being corrupted.
